1. Acceptance of Terms

By engaging Vijendra Trading for general trading services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services Description

Vijendra Trading provides comprehensive general trading services including but not limited to:

• Global sourcing and procurement
• Supply chain management
• Logistics and distribution
• Product inspection and quality control
• Customs clearance and documentation
• Market research and trade advisory

3. Client Responsibilities

As our client, you agree to:

• Provide accurate and complete project requirements
• Respond promptly to requests for information and feedback
• Make timely payments as agreed in the project contract
• Provide necessary access to systems and data
• Comply with all applicable laws and regulations
• Respect intellectual property rights

4. Payment Terms

Payment terms will be specified in individual project contracts. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur interest charges
• All prices are in Indian Rupees (INR) unless otherwise specified
• Taxes and duties are additional as applicable
• Payment methods include bank transfer, UPI, and online payment gateways

5. Intellectual Property

Unless otherwise agreed in writing:

• Client retains ownership of pre-existing intellectual property
• Vijendra Trading retains rights to general methodologies and tools
• Custom-developed solutions become client property upon full payment
• Open-source components remain under their respective licenses

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive information including:

• Business strategies and plans
• Technical specifications and data
• Financial information
• Customer lists and relationships
• Proprietary methodologies

7. Project Timeline and Deliverables

Project timelines and deliverables will be specified in individual contracts. Vijendra Trading will:

• Provide realistic project estimates
• Communicate any delays promptly
• Deliver work according to agreed specifications
• Provide documentation and training as needed

8. Limitation of Liability

To the maximum extent permitted by law:

• Vijendra Trading 's liability is limited to the project value
• We are not liable for indirect or consequential damages
• Client is responsible for data backups and security
• Third-party service issues are not our responsibility

9. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including:

• Natural disasters
• Government actions
• Internet outages
• Pandemic-related restrictions
• Other unforeseeable events

10. Termination

Either party may terminate services with written notice:

• 30 days notice for ongoing services
• Immediate termination for material breach
• Payment for completed work is still required
• Confidentiality obligations continue after termination

11. Dispute Resolution

Any disputes will be resolved through:

• Good faith negotiations first
• Mediation if negotiations fail
• Arbitration in Jaipur, Rajasthan if mediation fails
• Indian law applies to all disputes

12. Data Protection

We comply with applicable data protection laws and our Privacy Policy. Client data is:

• Processed lawfully and transparently
• Used only for legitimate business purposes
• Protected with appropriate security measures
• Retained only as long as necessary

13. Changes to Terms

Vijendra Trading may update these terms from time to time. We will notify clients of significant changes and post updated terms on our website.

14. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

15. Governing Law

These terms are governed by the laws of India and the jurisdiction of courts in Jaipur, Rajasthan.
